These Terms & Conditions ("Terms") govern your use of the website shopworldwidex.com and all contracts for product design, custom manufacturing, Amazon FBA prep, and international logistics provided by ShopWorldwideX Global Supply Chain Corp. ("ShopWorldwideX," "we," "us," or "our").

1. Acceptance of Terms & Quotations

By accessing this website, requesting a quotation, or issuing a Purchase Order (PO), you agree to be legally bound by these Terms. Quotations provided through our website or direct engineering communications remain valid for thirty (30) calendar days from issuance unless otherwise specified in writing.

2. Custom Product Design & 3D Prototyping

When you commission ShopWorldwideX to develop 3D CAD schematics, industrial design models, or physical prototypes:

• You warrant that any reference materials, brand names, or design concepts you provide do not infringe upon any third-party patent, trademark, or copyright.
• Prototypes are manufactured to test form, fit, functionality, and aesthetic approval. Full production will only commence after written sign-off ("Golden Sample Approval") by the client.
• Upon complete settlement of custom tooling and mold invoices, all proprietary molds and design files belong 100% exclusively to the client. ShopWorldwideX will never use your custom molds for other clients.

3. Manufacturing & Quality Standards

All goods are manufactured in compliance with the agreed technical specifications, tolerances (±0.02mm on precision CNC and injection molding unless specified otherwise), and relevant safety standards (e.g. CE, RoHS, FDA, BPA-Free). Pre-shipment inspections are conducted according to ISO 2859-1 (AQL 1.5 Major / 4.0 Minor) standards.

4. Amazon FBA Compliance & Packaging

ShopWorldwideX assists sellers in meeting Amazon Seller Central prep guidelines, including FNSKU labeling, polybag suffocation warnings, box barcodes, and pallet height constraints. While we make every commercially reasonable effort to ensure 100% adherence to Amazon inbound policies, the client is responsible for providing active FNSKU codes and accurate shipment manifests generated in Amazon Seller Central.

5. Delivery, Freight & Minimal Shipping Terms

Shipping timelines quoted (e.g., 4-7 business days for Express Air, 18-24 days for DDP Ocean Freight) are estimates based on standard port and customs clearance conditions. ShopWorldwideX is not liable for carrier delays caused by customs physical examinations, port congestion, weather conditions, or force majeure events. For DDP shipments, all import duties and entry fees are included in the agreed rate.

6. Payment Terms

Standard contract manufacturing terms require a 30% to 50% deposit upon purchase order issuance to initiate raw material procurement and mold tooling, with the remaining balance due upon completion and verification of the pre-shipment AQL inspection report before freight dispatch. Approved enterprise accounts may be eligible for Net-30 credit terms.

7. Third-Party Brand Disclaimer

Amazon, FBA, and associated brand logos are registered trademarks of Amazon.com, Inc. or its subsidiaries. ShopWorldwideX is an independent contract manufacturer and 3PL fulfillment logistics provider and is not sponsored by, endorsed by, or affiliated with Amazon.com, Inc.

8. Governing Law & Jurisdiction

These Terms and any production agreements shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
